End User License Agreement

This agreement supplements, and does not replace, our Terms of Service and Privacy Policy. Where this Agreement is silent, the Terms of Service govern. In the event of a direct conflict between this Agreement and the Terms of Service on licensing matters, this Agreement controls.

1. Parties & Acceptance

This End User License Agreement ("Agreement") is between Cevoriq LLC ("Company", "we", "us") and the organization or individual accessing the Cevoriq™ platform ("Licensee", "you"). By creating an account, provisioning an organization, or otherwise accessing the Service, you accept this Agreement on behalf of yourself and, if applicable, the organization you represent.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Cevoriq platform ("Software") as a hosted service, solely for your organization's internal business purposes, for as long as your subscription remains active. No source code, executable, or copy of the Software is delivered or licensed to you under this Agreement — access is provided exclusively through the hosted Service.

3. License Restrictions

You agree not to, and not to permit any third party to:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where such restriction is prohibited by applicable law
  • Sell, resell, sublicense, rent, lease, or otherwise commercially exploit the Software or the Service on a standalone basis
  • Use the Software to build a competing product or service, or to benchmark the Software for that purpose
  • Remove, obscure, or alter any proprietary notices, branding, or attribution on or within the Software
  • Share account credentials across more individual users than your subscription's assigned seats permit

4. Users, Roles & Seats

Access to the Software is provisioned per named user and governed by the role assigned to that user (Owner, Admin, Manager, or Viewer). Each role carries different permissions within the Service. You are responsible for assigning roles appropriately and for all activity under accounts provisioned within your organization, including by users you invite.

5. Ownership & Intellectual Property

The Software, including its underlying code, design, and all associated intellectual property rights, is and remains the exclusive property of Company and its licensors. This Agreement grants you no ownership interest in the Software. As between you and Company, you retain all rights to the data you submit through the Service, as described in our Terms of Service and Privacy Policy.

6. Third-Party & Open-Source Components

The Software incorporates third-party and open-source software components, each subject to its own license terms. Nothing in this Agreement limits your rights under, or grants you rights that supersede, the terms of any applicable open-source license. A list of material third-party components is available upon request to legal@cevoriq.com.

7. Updates & Modifications

Company may update, modify, or change features of the Software at any time as part of the hosted Service. Because the Software is delivered as a service rather than installed, updates apply automatically and do not require action on your part, other than as reasonably necessary to accommodate material changes we will notify you of in advance.

8. Term & Termination

This Agreement remains in effect for as long as you maintain an active subscription or account. It terminates automatically upon termination of your account under our Terms of Service. Sections 3, 5, 6, 9, 10, and 11 survive termination.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation applies alongside, and does not replace, the limitation of liability in our Terms of Service.

11. Confidentiality

Each party agrees to protect the other party's confidential information disclosed in connection with this Agreement with the same degree of care it uses for its own confidential information of similar nature, and not less than reasonable care, and not to disclose it to third parties except as necessary to perform under this Agreement or as required by law.

12. Governing Law

This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

13. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, and any signed order form or subscription agreement between you and Company, constitutes the entire agreement between you and Company regarding the Software and supersedes any prior agreements on this subject.
